Please note: These materials are designed to encourage pet owners to take direct action to spay and neuter their pets, and are therefore meant to promote spay/neuter services in your community. This agreement contains the terms and conditions applicable to use of the advertising design materials (Materials) provided by The Humane Society of the United States (The HSUS) as part of its Spay/Neuter Social Marketing Campaign (Campaign). This is a legal agreement between your organization and The HSUS. Please read this carefully before indicating your acceptance or rejection, below.

License Grant: The HSUS hereby grants to your organization a limited, revocable, non-transferable, non-sublicensable, non-exclusive license to use the Materials, and The HSUS logos and trademarks contained in the Materials, in the creation, publication, distribution, and display of advertising, fundraising, and other materials promoting your organization's participation in the Campaign/your organization’s low-cost spay/neuter program(s). The license granted herein shall not be deemed to permit your organization or any other party to distribute, sell, license, market, advertise, promote, exhibit, or otherwise exploit the Materials separately or in any context other than as authorized herein. The rights granted pursuant to this Agreement shall not convey ownership in the Materials and shall not limit or restrict in any way whatever rights The HSUS might have in and to the use of the Materials. The HSUS hereby reserves unto itself all rights in and to the Materials not specifically granted herein.

The HSUS's license:

1. is conditioned on
   • Your organization's using the HSUS Trademarks in accordance with the guidelines and instructions provided; and
   • Your organization's agreement to remove the Materials from public view immediately upon any termination of this license
2. is revocable by The HSUS upon notice to your organization at any time for any reason;
3. does not constitute The HSUS's endorsement of your organization or its programs; and
4. does not preclude The HSUS from granting any other licenses for use of the Materials.

Compliance with Law: The HSUS and your organization are each responsible for complying with all laws and regulations applicable to their respective performance of this Agreement.

Warranties, Limitation of Liability, and Indemnification:

1. The HSUS has the power and authority to enter this Agreement as the sole owner and copyright holder of the Materials.
2. THE ABOVE IS THE ONLY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED THAT IS MADE BY THE HSUS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY THE HSUS, ITS OFFICERS, EMPLOYEES, OR AGENTS, SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THE WARRANTY ABOVE AND YOUR ORGANIZATION MAY NOT RELY UPON SUCH INFORMATION OR ADVICE.
3. The HSUS assumes no responsibility for any content not supplied by it or for any content supplied by it that has been changed, modified, adapted, or combined with other content by your organization.
4. NEITHER THE HSUS NOR ANYONE ELSE WHO HAS BEEN INVOLVED IN THE CREATION, PRODUCTION OR DELIVERY OF THE MATERIALS SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGE (INCLUDING DAMAGE FOR LOSS OF BUSINESS PROFIT, BUSINESS INTERRUPTION, LOSS OF DATA, AND THE LIKE) ARISING OUT OF THE USE OF OR INABILITY TO USE THE MATERIALS EVEN IF THE HSUS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
5. Your organization warrants that the person who indicates acceptance below is authorized to execute this Agreement on behalf of your organization and to bind your organization to the terms of this Agreement.
6. Your organization is a bona fide provider of low-cost spay/neuter services, with the power and authority to enter into this agreement.
7. Your organization shall defend, indemnify, and hold harmless The HSUS from and against any and all loss, costs, claims, damages, liability, demands, or expenses, including reasonable attorneys fees and costs, brought by third parties, which may arise out of or derive in any way from your organization’s unauthorized use of the Materials, or from any alterations whatsoever made to the Materials after The HSUS has provided the Materials, or from any commentary or other material or other content added by your organization.
8. You agree to provide a copy of one ad sent via email to spayneuter@humanesociety.org before publishing any materials, in print or electronically.

Choice of Law: This Agreement shall be governed by the laws of the District of Columbia. If for any reason a court of competent jurisdiction finds any provision of this Agreement, or portion thereof, to be unenforceable, that provision of the Agreement shall be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this Agreement shall continue in full force and effect.
